2. Go-Live Timeline — 12 Business Days

3. Commercial Terms
A. One-Time Setup Fee
₹5,00,000. ₹2,50,000 on contract signing; ₹2,50,000 on go-live (Day 12). Covers full rebrand, dedicated infrastructure provisioning, UAT support, 30-day hyper-care period.
B. Monthly Hosting & Operations
₹40,000 / month. NET-15. Covers Vercel, Supabase, managed cloud infrastructure, Anthropic AI (up to monthly cap of ₹15,000), Kite Connect, email delivery, monitoring, and 5–10 hrs/month operator support. Annual price escalator: 10% (or CPI India, whichever higher).
C. Revenue Share
20% of gross subscription revenue collected from end-users. Settled monthly within 15 days of month-end. DexoSoft may, with 7 days' notice and no more than once per quarter, request Cashfree transaction export for revenue verification. Material discrepancies (>5%) trigger right to engage independent auditor at client's expense.
D. Contract Terms
- Initial term: 12 months from go-live date
- Auto-renewal: 12-month periods (90 days' notice to exit)
- Client early termination: 90 days' notice; pro-rated refund of unused prepaid months (setup fee non-refundable)
- DexoSoft termination: 30 days for non-payment / material breach; 90 days otherwise
- Optional security deposit: 3-month hosting (₹1,20,000) refundable on clean exit
- Assignment / change-of-control (>50% equity) requires prior written consent
- Governing law: India. Arbitration: Bhubaneswar, Odisha.
4. Client Responsibilities
- Register a Zerodha Kite Connect app under your company's Kite account.
- Create a Cashfree merchant account and share API credentials.
- Provide final logo files: SVG or PNG, minimum 512px, light + dark variants.
- Share brand colour hex codes.
- Designate technical point-of-contact for UAT (Days 10–11).
- Confirm DNS access for go-live cutover.
Regulatory Responsibility
Client warrants it holds, or will obtain prior to go-live, the SEBI registrations (Investment Adviser, Research Analyst, and/or algo provider authorisation) required for its end-user offering. DexoSoft is a technology infrastructure provider only and does not provide investment advice. End-user onboarding, KYC, pricing, grievance redressal, and SEBI compliance remain client's responsibility.
5. IP, Confidentiality & Liability
IP Ownership. 100% of product IP remains exclusively with DexoSoft. Client owns its brand, customer data, and domain. Data export available within 5 business days on written request.
Data Protection (DPDP 2023). DexoSoft processes end-user data as Data Processor; Client is the Data Fiduciary. Both parties will execute a Data Processing Addendum (DPA) on signing covering: lawful basis, retention (≤24 months post-account-closure), deletion timelines, breach notification (72 hours), sub-processor list.
Non-Compete. 18 months post-termination; scoped narrowly to "AI-driven stock signal screener + Indian broker autotrader." No reverse engineering of API responses or frontend assets.
Liability. DexoSoft's aggregate liability capped at fees paid in the preceding 12 months or ₹3,00,000, whichever is greater. Trading losses are not DexoSoft's liability. Force majeure covers broker / exchange / AI provider outages.
AI Provider Lifecycle. If an underlying AI model is deprecated, DexoSoft migrates to a supported successor within 60 days at no additional cost.
Optional Source Code Escrow. Iron Mountain India / NCC Group. Released only if DexoSoft ceases operations for ≥90 consecutive days. ~₹50,000/year, client cost.

- DexoSoft builds and brands dedicated instance (Days 3–11).
- Client approves UAT, transfers remaining ₹2,50,000, and goes live (Day 12).
